AeroSmart Enterprise LLC (“AeroSmart”) provides aviation management, aircraft-related services, travel coordination, and other aviation services.

Certain flight services may be conducted by independent FAA-certificated air carriers.

Commercial air transportation in the United States must be conducted by an appropriately authorized air carrier in accordance with applicable Federal Aviation Administration requirements.

Nothing on AeroSmart's website should be interpreted as representing that AeroSmart itself operates every aircraft displayed on the website or conducts every flight requested through the website.

Where a flight is provided by an independent FAA-certificated Part 135 air carrier, that operator is responsible for conducting the flight pursuant to its applicable FAA authority.

Passengers may request the identity of the operator conducting their flight.

The properly certificated operator conducting a commercial flight maintains operational control of that flight as required by applicable aviation regulations.

Operational control includes authority concerning the initiation, conduct, and termination of the flight.

Nothing contained in:

• An AeroSmart website;
• Booking request;
• Charter quotation;
• Client request;
• Concierge request;
• Management arrangement; or
• Other communication

is intended to improperly transfer operational control away from the authorized aircraft operator.

The pilot in command maintains final authority regarding the safe operation of the aircraft as provided by applicable aviation regulations.

No customer, passenger, broker, owner, concierge representative, AeroSmart employee, or commercial consideration may require a flight to be conducted contrary to applicable law or the pilot's safety responsibilities.

Aircraft appearing on AeroSmart's website may be:

• Owned by AeroSmart;
• Managed by AeroSmart;
• Owned by management clients;
• Operated by affiliated entities;
• Operated by independent air carriers;
• Available through charter providers; or
• Representative of aircraft categories available within the aviation marketplace.

Display of an aircraft does not guarantee its availability for a specific trip.

Operational circumstances may require substitution of an aircraft.

Substituted aircraft will be subject to applicable contractual, safety, regulatory, and operational requirements.

A website estimate, flight-cost calculator, mission estimator, aircraft recommendation, or preliminary quotation does not itself constitute a binding charter agreement.

A flight is confirmed only through the applicable booking or transportation agreement and satisfaction of required payment and confirmation conditions.

Charter costs may be affected by:

• Flight time;
• Aircraft type;
• Repositioning;
• Fuel;
• Federal Excise Tax;
• Passenger segment fees;
• Airport fees;
• Handling fees;
• International fees;
• Crew expenses;
• Weather;
• Deicing;
• Catering;
• Ground transportation;
• Aircraft availability; and
• Other trip-specific expenses.

Aircraft operations are subject to:

• Weather;
• Maintenance;
• Air traffic control;
• Crew limitations;
• Airport conditions;
• Security restrictions;
• Government regulations;
• Weight and balance limitations;
• Aircraft performance limitations; and
• Other safety considerations.

A flight may therefore be delayed, rerouted, substituted, diverted, rescheduled, or canceled.

International flights may require:

• Customs authorization;
• Immigration processing;
• Landing permits;
• Overflight permits;
• Passenger documentation;
• Agricultural declarations;
• Health documentation; and
• Other government approvals.

AeroSmart cannot guarantee entry into a foreign jurisdiction.

Passengers are responsible for providing accurate:

• Identification;
• Passenger information;
• Passport information;
• Visa information;
• Baggage information;
• Pet information;
• Dangerous-goods information;
• Medical or accessibility requirements; and
• Other information necessary to safely coordinate the trip.

AeroSmart supports lawful aviation operations.

AeroSmart does not knowingly arrange or conduct unlawful commercial air transportation.

Clients should never be asked to misrepresent:

• Who operates an aircraft;
• Who controls the flight;
• Why a flight is being conducted; or
• The commercial nature of a transportation arrangement

to aviation authorities.

Consumers may independently verify FAA-certificated charter operators through FAA resources.

If a conflict exists between this website disclaimer and a separately executed charter, transportation, management, or aircraft-services agreement, the specific agreement governing the transaction controls.
